Wholesale Terms and Conditions 

The terms and conditions herein ("Agreement") direct the wholesale relationship between the “Reseller” and “Snack Crack Bam” and apply to all wholesale orders unless otherwise agreed upon, in writing. 

1. Eligibility

  • Snack Crack Bam products may only be re-sold by registered retail business operators, in-store, and/or online;

  • We welcome gaming stores, gift shops, neighbourhood boutiques, and retail shops that cater to exceptional customer experience, quality products, and brand integrity to partner with us;

  • Snack Crack Bam reserves the right to evaluate applicant locations, merchandising,  and business practices prior to approval;

  • Approval is at the sole discretion of Snack Crack Bam and is not guaranteed;

  • Proof of business registration may be requested as part of the approval process.  

2. Minimum Orders and Payment

  • First Order Minimum: C$1500 

  • Reorder Minimum: C$500

  • All orders, including shipping (and duties, taxes, and/or tariffs*, where applicable), must be prepaid in full, prior to shipping;

  • Prices are in Canadian Dollars (C$) and are subject to change without notice; 

  • Payments can be made by Visa, Mastercard, American Express, or Electronic Bank Transfer. 

3. Terms of Sale

  • All orders are subject to availability;

  • Wholesale orders are final sale, and are not eligible for return or exchange;

  • All merchandise will be billed at in-effect pricing at the time of ordering;

  • Snack Crack Bam reserves the right, at its sole discretion, to update or change product lines, packaging, inclusions, and product descriptions or documentation at any time, without notice;

  • Snack Crack Bam reserves the right to impose limits and/or restrictions to the purchase of any item, at any time, due to high demand and/or limited availability. Limitations may include maximum unit quantities per order, account, or location. 

4. Shipping & Delivery 

  • Buyer/Reseller is responsible for all shipping fees;  

  • Shipping fees are calculated based on the total size, weight, and destination;

  • *U.S. Government-imposed Tariffs must be prepaid on any orders shipping to the United States, and will be included in the final invoice, as per current US-government policy;

  • Orders ship via Federal Express, UPS, Purolator, DHL, Canada Post, or local courier service, dependant on destination and service level, from Toronto, Canada, within 5-7 business days of receipt of payment;

  • Snack Crack Bam is not responsible or liable for any shipping delays that may occur once a package has left its facilities.

5. Quality Control

  • All items are quality-checked prior to shipping. Reseller is responsible for inspecting merchandise upon receipt;

  • Claims for discrepancies, damages, or defects must be submitted, in writing with photo evidence, to sales@snackcrackbam.com within 7 days of delivery;

  • Reseller's failure to provide written notice of a claim within 7 days shall constitute a waiver of any claim.

6. Confidential Information

  • Wholesale pricing, information about upcoming releases, and pricelists provided by Snack Crack Bam are strictly confidential, and for the use of resellers only;

  • Publishing, releasing, sharing, or leaking wholesale pricing or upcoming/unreleased Snack Crack Bam products is strictly prohibited;

  • Failure to preserve confidential information will result in immediate and permanent termination of wholesale status of the Reseller;

  • Snack Crack Bam reserves the right to seek legal action and/or financial compensation for any loss or damages resulting from any breach of confidentiality. 

7. Intellectual Property and Brand Asset Usage Rights

  • Snack Crack Bam will provide Reseller with specific brand assets, photos, graphics, logos, contextual images, and/or text for the sole purposes of advertising and marketing use on the Reseller website, in-retail, and social media ONLY;

  • Reseller can not alter or modify any brand assets, photos, graphics, logos, contextual images, and/or text provided by Snack Crack Bam;

  • All promotional and marketing materials created by the reseller using provided elements, including social media posts, must be pre-approved for use by Snack Crack Bam prior to publication;

  • Approval requests must be sent to sales@snackcrackbam.com with a minimum approval lead time of 3 business days;

  • Any advertising, promotional materials, or publication made without prior, written approval will result in immediate and permanent termination of wholesale status of the Reseller;

  • Upon cancellation of the wholesale agreement by either party, the Reseller immediately waives its’ limited-use license to use any and all brand assets, photos, graphics, logos, contextual images, and/or text, and must immediately pull any related media from Reseller websites, retail stores and social media accounts.

8. Resale Pricing Policies

To protect and maintain market value, brand integrity, and competitive edge, authorized Resellers must comply with the following pricing policies:

Manufacturer’s Suggested Retail Price (MSRP)

  • The MSRP is the retail price set by Snack Crack Bam for all products;

  • MSRP applies to all forms of advertising, including websites, social media, digital ads, email marketing, and print materials;

  • All products must be priced at MSRP unless discount, sale, or promotional pricing has been authorized and approved, in writing, by Snack Crack Bam;

Sales, Discounts, Promotions, and Minimum Advertised Price (MAP)

  • All advertised pricing must be at or above MAP for all products. MAP pricing for all products is the lowest allowable list price, as approved by Snack Crack Bam;

  • Free shipping and/or handling, no sales tax, or value added promotions (bonus items, free giveaways, etc.) do not violate the MAP;

  • Requests for discount, sale, or promotional pricing authorization may be submitted to sales@snackcrackbam.com with a minimum approval lead time of 3 business days;

  • Failure to comply with the MAP, may result in the immediate revocation of the Reseller’s wholesale rights, at the sole discretion of Snack Crack Bam;

  • This clause shall survive any termination of this Agreement. 

9. Third Party Retailers

  • Resellers are never permitted to advertise, offer to sell, promote, market, or sell any Snack Crack Bam products on, or through, any third-party seller or reseller, including but not limited to, online marketplaces, other online retailers, and auction sites, including but not limited to those like ebay.com, amazon.com, Amazon Marketplace, Facebook Marketplace, or any similar website or online marketplace;

  • This clause shall survive any termination of the Agreement.

10. Territory & Exclusivity 

  • Snack Crack Bam does not authorize, grant, or guarantee exclusivity to any particular product, region, or territory.

11. Right of Refusal or Revocation of Wholesale Access

  • Snack Crack Bam reserves the right, at its sole discretion, to approve, decline, or revoke wholesale access at any time and for any reason, including but not limited to policy violations, brand misrepresentation, or failure to meet minimum requirements.

12. LIMITATION OF LIABILITY

  • IN NO EVENT SHALL SNACK CRACK BAM HAVE ANY LIABILITY TO RESELLER FOR ANY LOST PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, MULTIPLE, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES HOW EVER CAUSED AND, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE; AND IN NO EVENT SHALL SNACK CRACK BAM’S LIABILITY EXCEED THE FEES PAID UNDER THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

13. Governing Law

  • This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. 

14. Acceptance 

  • By placing a wholesale order, Reseller agrees to fully comply with these terms and conditions;

  • Terms and Conditions may be modified or updated at any time. Continued partnership implies acceptance of current terms as posted on snackcrackbam.com.
